Terms of service

These terms cover two things: your use of the website barqai.agency, and the general terms under which Toubbali OÜ (registry code 17054922, Soo tn 13-7, 10414 Tallinn, Estonia, trading as "BarqAI", "we") delivers services. A signed proposal or contract for a specific project takes precedence over these general terms where they differ.
1. Using the website
The site is provided as is, for information. We try to keep it accurate but make no promise that it is complete or error-free. You may not use the site or the contact form to send unlawful, abusive or automated content.
All text, design and code on the site are owned by Toubbali OÜ unless stated otherwise. You may quote short excerpts with a link to the source.
Links to other websites are provided for convenience. We are not responsible for their content or their privacy practices.
2. Proposals and contracts
Every project starts with a written proposal stating the scope, price, timeline and payment schedule. A project begins when you accept the proposal in writing (email is fine) and, where the proposal says so, when the first payment is received. Work not listed in the proposal is out of scope and is quoted separately.
3. Payment
Prices are in euros and exclude VAT unless the proposal says otherwise. Invoices are due within 14 days. Late payments accrue interest at the statutory rate under Estonian law, and we may pause work until overdue invoices are settled.
4. Your responsibilities
You provide the access, content and decisions the proposal lists, within the agreed time. You confirm you have the right to give us access to any systems, accounts and data involved in the project, and that the project does not require us to break the terms of any third-party service.
5. Intellectual property
Once the project is paid in full, you own the deliverables made for you: source code, designs and documentation. We keep the right to reuse general know-how, libraries and tooling that are not specific to your business, and to name you as a client unless you ask us not to. Third-party components remain under their own licences.
6. Confidentiality
Each side keeps the other's non-public information confidential during the project and for three years after, and uses it only for the project. This does not apply to information that is public, already known, or required to be disclosed by law.
7. Warranty and liability
We fix defects in the deliverables that you report within 30 days of handover, free of charge, as long as the deliverable has not been modified by someone else. Beyond that, deliverables are provided as is.
To the extent permitted by law, our total liability for a project is limited to the fees paid for that project, and neither side is liable for indirect losses such as lost profit or lost data. Nothing limits liability for intent or gross negligence.
Systems that call AI models can produce wrong output. Where a deliverable uses AI, we design in review steps as agreed in the proposal, but you remain responsible for decisions made on the basis of its output.
8. Ending a project
Either side may end a project with 14 days' written notice. You pay for work completed up to that date and receive what has been built so far. Either side may end immediately if the other breaks these terms and does not fix it within 14 days of being told.
9. Law and disputes
These terms are governed by the laws of the Republic of Estonia. Disputes that cannot be settled by talking are resolved in Harju County Court, Tallinn, unless mandatory consumer law says otherwise.
